To provide board support and secretarial services to allocated portfolios of subsidiary companies’ boards, and board and management committees. To provide support to committee members on governance matters, ensuring effective and efficient functioning of all boards and committees by adopting an appropriate standard of governance. To assist with ensuring compliance with the applicable statutory, regulatory and corporate governance requirements for boards and management committees.

Job Purpose

To provide board support and secretarial services to allocated portfolios of subsidiary companies’ boards, and board and management committees. To provide support to committee members on governance matters, ensuring effective and efficient functioning of all boards and committees by adopting an appropriate standard of governance. To assist with ensuring compliance with the applicable statutory, regulatory and corporate governance requirements for boards and management committees.

Key Responsibilities/Accountabilities

Risk, Regulatory, Prudential & Compliance

  • Promote, ensure and uphold good relations with all stakeholders.
  • Lead the process with drafting of resolutions and liaison with board members to explain
  • purpose of resolution
  • Provide full board meeting support to the Group board and other agreed subsidiary board
  • and committee meetings to achieve governance best practice.
  • Review governance gaps and provide an analysis thereto to assist the Governance team
  • Design and execute the Board and Committee annual forward planning calendar in line with
  • our internal governance processes.
  • Manage director induction programme for subsidiary companies
  • Collate and review board packs and share via the board reporting system in a timely and
  • accurate basis, to ensure that board and committee meetings are run effectively.
  • Research into governance best practices and standards to provide input for secretarial
  • advisory services.
  • Draft and review routine minutes and resolutions for boards and committees
  • Research and review Non-Executive Director fees to ensure consistency and alignment with
  • best practice in the banking sector process.
  • Review and process statutory accounts to ensure compliance with Company’s Act.
  • Manage statutory compliance for group subsidiaries to ensure this information is kept up to
  • date in line with Company Act legislation.
  • Conduct routine filings at the Company’s House Registry in line with Company’s Act Act as a
  • stand in secretary at board and committee meetings

Preferred Qualification and Experience

Qualifications:

First Degree: Legal

Experience:

Internal Audit: 3 – 4 Years

Governance: 3 – 4 Years

Legal (Macro Generic): 3 – 4 Years
